These Terms of Use ("Terms") govern your access to and use of the semiAIfoundryTM website, publications, benchmark materials, and related offerings (collectively, the "Services") provided by semiAIfoundryTM ("semiAIfoundry," "we," "us," or "our").
1) Acceptance of Terms
By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
If you are using the Services on behalf of an entity, you represent that you have authority to bind that entity to these Terms.
2) Changes to the Services or Terms
We may modify the Services or these Terms at any time. Updated Terms will be posted with a new Effective Date. Your continued use after changes become effective constitutes acceptance.
3) Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services.
4) Accounts; Security
Some features may require an account. You are responsible for providing accurate information, maintaining credential confidentiality, and all activity under your account. We may suspend or terminate access if we believe your account is compromised or used in violation of these Terms.
5) Service Scope; Public-Only Default; No Submission of Confidential or Regulated Information
The Services are designed to provide value using public and non-confidential sources. You are not required to submit proprietary or confidential information to access core Services.
Unless we explicitly agree in writing, you agree not to upload, transmit, or otherwise provide:
- Trade secrets, proprietary process recipes, or confidential technical documents
- Export-controlled information
- Protected health information, personal health information, or clinical records
- Sensitive personal data, payment data, financial account data, student records, or regulated customer data
If you submit prohibited content, you are responsible for the submission and any resulting consequences. We may delete such content without notice.
Submissions made through public pages, public forms, or public contact channels are treated as non-confidential unless a separate written agreement expressly states otherwise.
6) Benchmark and Publication Content
The Services may include benchmarks, leaderboards, analyses, and publications. You acknowledge:
- Benchmark results are produced using defined tasks, methods, and scoring criteria that may evolve over time.
- Results may vary by model version, configuration, prompts, tool access, datasets, or other factors.
- Content is provided for informational purposes and does not guarantee performance in your environment.
7) License to Use the Services and Content
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services and Content for your internal business purposes.
Except as expressly permitted in writing, you will not:
- Copy, reproduce, distribute, publicly display, or create derivative works from the Services or Content
- Resell, rent, or sublicense the Services or Content
- Scrape, crawl, or use automated means to extract Content except where expressly permitted
- Reverse engineer or attempt to discover source code or underlying systems
- Remove or alter proprietary notices
You may share limited excerpts of public pages or publications with attribution to semiAIfoundryTM, as permitted by any page-specific sharing guidelines.
8) Intellectual Property
The Services, Content, platform materials, visual identity, product concepts, workflows, documentation, benchmarks, analyses, user interfaces, software, models of operation, orchestration patterns, text, graphics, logos, and other materials made available through or in connection with the Services are owned by semiAIfoundryTM, its affiliates, platform entities, or licensors, and are protected by copyright, trademark, trade secret, and other intellectual property and proprietary rights laws.
This ownership includes, without limitation, technical architectures, system designs, software designs, product designs, interface designs, process designs, workflow orchestration methods, domain models, data models, schemas, taxonomies, ontologies, evaluation methods, benchmark designs, acceptance criteria, quality systems, operating playbooks, implementation methods, deployment patterns, integration patterns, documentation systems, know-how, strategic analyses, valuation analyses, roadmaps, research, platform concepts, and the selection, coordination, sequence, and combination of these elements across high-tech manufacturing, education, healthcare, commerce, and other vertical domains.
Except for the limited access license expressly granted in these Terms, no right, title, interest, license, assignment, or other permission is transferred to you in or to any semiAIfoundryTM intellectual property, platform intellectual property, Content, software, technology, know-how, data structures, methods, inventions, trade secrets, or brand assets. All rights not expressly granted are reserved.
You may not copy, modify, adapt, translate, create derivative works from, reverse engineer, decompile, disassemble, extract, train on, scrape, mirror, frame, resell, sublicense, or otherwise exploit any portion of the Services, Content, or platform materials except as expressly permitted in writing by semiAIfoundryTM.
Access to public pages, publications, demonstrations, product descriptions, strategic materials, valuation materials, benchmark materials, or platform descriptions does not grant permission to reconstruct, imitate, commercialize, train on, benchmark against, or build derivative offerings based on the underlying technical, design, operational, process, strategic, or business methods embodied in or reflected by those materials.
9) Trademarks
semiAIfoundryTM, semiAIfoundry, Semi AI Foundry, FabQEDTM, Chemio AITM, InBasket AITM, AwdmaTM, TimretTM, and all related names, logos, wordmarks, product names, platform names, designs, trade dress, slogans, taglines, and source-identifying elements are trademarks, service marks, or trade dress of semiAIfoundryTM, its affiliates, or its platform entities. The absence of a trademark symbol or registration notice does not waive any rights.
You may not use, reproduce, display, register, reserve, modify, abbreviate, combine, or create confusingly similar names, marks, logos, domain names, social media handles, app names, product names, company names, search keywords, metatags, advertising copy, or other identifiers based on or incorporating any semiAIfoundryTM or platform mark without prior written permission, except as permitted by applicable law.
Any permitted reference to semiAIfoundryTM or a platform must be truthful, non-misleading, and must not suggest sponsorship, endorsement, affiliation, partnership, certification, approval, or authorization unless we have expressly agreed to it in writing. All goodwill arising from use of our marks inures exclusively to the benefit of semiAIfoundryTM or the applicable platform owner.
10) User Submissions; Feedback
If you provide feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback without obligation.
If you submit any content to the Services, such as form entries, you represent you have all necessary rights to provide it and that it does not violate law or third-party rights.
You may not submit materials for the purpose of contaminating, encumbering, reverse engineering, benchmarking, or challenging the ownership of semiAIfoundryTM or platform intellectual property.
11) Acceptable Use; Prohibited Conduct
You agree not to:
- Violate any law or regulation
- Infringe intellectual property or privacy rights
- Attempt unauthorized access to systems or data
- Interfere with the Services' operation
- Introduce malware
- Use the Services, Content, marks, or platform materials to train, evaluate, benchmark, or improve a competing product or service without written permission
- Use automated systems, agents, bots, scrapers, crawlers, or extraction tools to access, copy, monitor, or harvest the Services or Content except where expressly permitted
- Misrepresent your affiliation with semiAIfoundryTM or any platform
- Use the Services to develop, test, or enable harmful, unlawful, or abusive activities
We may investigate and take action, including suspension or termination, for suspected violations.
12) Third-Party Links and Services
The Services may link to third-party sites or include third-party tools. We do not control and are not responsible for third-party content, policies, or practices.
13) Disclaimers
The Services and Content are provided "as is" and "as available." To the maximum extent permitted by law, semiAIfoundryTM disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
The Services and Content do not constitute engineering, manufacturing, safety, legal, compliance, investment, or other professional advice. You are solely responsible for decisions, actions, and results arising from your use of the Services.
Unless governed by a separate written agreement, the Services and Content are not intended for production deployment, clinical care, regulated manufacturing release, financial transaction execution, compliance sign-off, or other high-consequence operational use.
14) Limitation of Liability
To the maximum extent permitted by law, semiAIfoundryTM will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to the Services or these Terms, even if advised of the possibility.
semiAIfoundryTM's total liability for all claims arising out of or related to the Services or these Terms will not exceed the greater of the amount you paid to semiAIfoundryTM for the Services in the 12 months before the event giving rise to the claim or $100 if you paid nothing.
15) Indemnification
You agree to indemnify, defend, and hold harmless semiAIfoundryTM and its affiliates, officers, directors, employees, and agents from claims and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Services, your violation of these Terms, your submissions, your misuse of our intellectual property or trademarks, your violation of law, or your infringement or alleged infringement of third-party rights.
16) Suspension and Termination
We may suspend or terminate your access if we reasonably believe you violated these Terms, your use poses security, legal, or operational risk, or we must do so to comply with law. Upon termination, your license ends and you must stop using the Services. Provisions that by their nature should survive will survive.
17) Dispute Resolution; Arbitration; Class Action Waiver
Before filing a claim, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.
If not resolved, disputes will be resolved by binding arbitration and not in court, except for eligible small claims court matters and requests for injunctive relief to stop misuse or infringement of intellectual property, misuse of trademarks, breach of confidentiality obligations, misuse of trade secrets, or unauthorized access. Arbitration will be administered by a nationally recognized arbitration provider under its applicable rules and may be conducted remotely unless the parties agree otherwise.
You and semiAIfoundryTM agree to bring claims only in an individual capacity, not as a plaintiff or class member in any class, collective, or representative proceeding. You and semiAIfoundryTM waive any right to a jury trial.
18) Governing Law
These Terms are governed by the laws of the jurisdiction determined to be applicable to semiAIfoundryTM and the Services, without regard to conflict of laws rules, except that the arbitration agreement is governed by the U.S. Federal Arbitration Act where applicable.
19) Miscellaneous
These Terms and the Privacy Policy form the entire agreement regarding the Services. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, financing, or sale of assets. If any provision is unlawful or unenforceable, the remaining provisions remain in effect. Failure to enforce any provision is not a waiver.
